Case Background

On March 23, 2022, Salem Harbor Power Development LP (f/k/a Footprint Power Salem Harbor Development LP) and 5 affiliated debtors (collectively, the "Debtors") each filed a voluntary petition for relief under Chapter 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the District of Delaware. The cases are pending before the Honorable Mary F. Walrath, and are jointly administered under Case No. 22-10239.

The Debtors have used the words “Footprint Power” and its associated logo in their names pursuant to a license (the “License”) granted by the trademark owner Footprint Power Holdings, LLC (the “Trademark Licensor”).  The License was terminated in accordance with the governing License agreement shortly before the commencement of these chapter 11 cases.  Accordingly, to avoid and/or mitigate any alleged claims the Trademark Licensor may assert against the estates, the Debtors will no longer be utilizing the “Footprint” logo and, as part of their “first day” motions, are seeking authorization to change the respective Debtors’ names that will be utilized in connection with these chapter 11 cases.

Plan & Disclosure Statement

On April 20, 2022, the Debtors filed their Joint Plan of Reorganization (as subsequently amended, the "Plan") and the Disclosure Statement related thereto. On June 30, 2022, the Bankruptcy Court entered an order approving the Disclosure Statement. The Bankruptcy Court held a hearing to consider confirmation of the Plan on August 16, 2022. On August 18, 2022, the Bankruptcy Court entered an order confirming the Plan.

Sale

On April 20, 2022, the Bankruptcy Court entered an order approving the bidding procedures in connection with the sale of all or substantially all of the Debtors' assets.

Please take note of the following important dates related to the sale:

• Stalking Horse Motion Deadline: June 3, 2022, at 5:00 p.m., prevailing Eastern Time
• Bid Deadline: June 10, 2022, at 5:00 p.m., prevailing Eastern Time
• Auction (if necessary): June 14, 2022, at 10:00 a.m., prevailing Eastern Time
• Transaction Election Deadline: June 24, 2022, at 4:00 p.m., prevailing Eastern time
• Assigned Contract Objection Deadline: August 5, 2022, at 4:00 p.m., prevailing Eastern time
• Confirmation Hearing: August 16, 2022, at 10:30 a.m., prevailing Eastern time

Deadline to File Claims

The Bankruptcy Court has set the following deadlines for filing proofs of claim against the Debtors:

General Bar Date: May 23, 2022, at 4:00 p.m. (prevailing Eastern Time)

Governmental Bar Date: September 19, 2022, at 4:00 p.m. (prevailing Eastern Time)
